Terms of Service

The agreement between LoyalX and the business using it. Written to describe the service as it actually runs today, including the parts that are not built yet.

These terms describe the system accurately but have not been reviewed by a lawyer. They must be reviewed before LoyalX charges money or sends marketing on a business's behalf.

Who this agreement is between

LoyalX is operated by Mohamad Abu Ahmad, a sole proprietor in Israel. This agreement is between LoyalX and the business that creates an account and runs a loyalty club with it.

The customers of that business are not party to this agreement. Their relationship is with the business whose club they joined; the privacy notice explains what each side holds about them.

What the service does

LoyalX provides a business with:

  • A loyalty programme with a stamp or points card, rewards, and a public registration page.
  • Loyalty cards that a customer can add to Apple Wallet or Google Wallet, which update when a stamp is given.
  • A dashboard for staff, branches, transactions and customers, in Hebrew, Arabic and English.
  • Email delivery for transactional messages, and email-only marketing to customers who agreed to receive it.

Not included, and not to be relied on: SMS sending, WhatsApp sending, payment processing, and public Wallet issuance outside the controlled test tenant. Where the product says a capability is unavailable, that statement is the accurate one.

Accounts and access

An account must be created by a person, using accurate details, and the account holder is responsible for what is done under it. Credentials must not be shared; staff who need access are added as staff, with the role appropriate to their job.

A business may add branches and staff. The owner is responsible for removing access when somebody leaves, and every administrative action is recorded in an append-only audit log.

Customer data, and who is responsible for it

The personal data of a business's loyalty customers belongs to that business. The business decides what to collect, what to send, and what to do with a request from one of its customers. LoyalX processes that data on the business's instructions in order to run the service.

The business is responsible for having a lawful basis for the marketing it sends, for honouring withdrawals, and for complying with the Communications Law and any other law that applies to it. LoyalX provides the consent record, the withdrawal mechanism and the eligibility checks; it does not decide for the business whether a campaign is lawful.

LoyalX does not use one business's customer data for another business, does not sell it, and does not market to it for LoyalX's own purposes.

Acceptable use

A business using LoyalX must not:

  • Upload or enter another person's data without a lawful basis for doing so.
  • Send marketing to somebody who did not agree, or who withdrew their agreement.
  • Use the service to send anything unlawful, deceptive, or harmful.
  • Attempt to reach another business's data, probe the service for vulnerabilities without permission, or work around a limit rather than asking about it.
  • Present LoyalX as the sender of the business's own marketing, or the business as the operator of LoyalX.

Stamps, rewards and the ledger

Stamps and rewards are a promise the business makes to its own customers. LoyalX records them; it does not underwrite them. If a business closes, changes its programme or refuses a reward, that is between the business and its customer.

Every loyalty movement is written to an append-only ledger. A mistake is corrected by a compensating entry, visible in the history — nothing is silently rewritten, including by LoyalX.

Fees

No payment processor is connected and LoyalX is not charging for the service today. Plans, limits and prices are shown in the product, and a business is always on the plan version it signed up under: publishing a new price does not change what an existing subscription pays.

Before any charge is ever made, the business will be told in advance, and these terms will be revised and reviewed by a lawyer first.

Availability

LoyalX runs on hosted infrastructure in the European Union and aims to be available continuously, but it is provided as it is, without a guaranteed uptime commitment. Maintenance, provider outages and faults happen.

A business should not rely on LoyalX as the only record of anything it cannot afford to lose. A full export of the business's data is available from the dashboard at any time.

Liability

To the extent the law allows, LoyalX is not liable for lost profits, lost business, or indirect or consequential loss. Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

Because no fee is currently charged, any liability that does arise is limited to putting the service right.

Suspension and termination

A business may close its account at any time. Closure is confirmed by email and then carried out: every customer's name, phone number and email address is erased, cards stop working, and the append-only ledger, consent records and audit log are kept without personal data in them. The privacy notice sets this out in full.

LoyalX may suspend an account that is being used to break these terms or the law, or that threatens the security of the service. Where it is possible to warn first, LoyalX will.

Changes to these terms

When these terms change materially, the version recorded here changes with them, and businesses are told before the change takes effect. Continuing to use the service after that date means accepting the revised terms.

A customer's agreement to the joining notice is versioned separately, so a change to a business's terms never rewrites what a customer previously agreed to.

Governing law

These terms are governed by the law of the State of Israel, and the competent courts of Israel have jurisdiction. This clause in particular needs legal review before it is relied on.
